NautaDutilh assisted NS Groep N.V. in the auction sale of its wholly-owned subsidiary Strukton Groep N.V. to Oranjewoud N.V. The sale and purchase agreement between NS and Oranjewoud was signed on 23 July 2010 and announced on the same day after the close of trading. The transaction has a value of  EUR 168.1 million.

Strukton Groep consists of five operating companies: Strukton Rail, Strukton Civiel, Strukton Bouw, Strukton Worksphere and Strukton Integrale Projecten, with over 6,000 employees. In 2009, the Strukton Groep had a turnover of EUR 1.4 billion and an operating result of EUR 13 million. 

NautaDutilh's team was headed by Joost den Engelsman and also included Ruud Smits, Hein Hooghoudt, Homme ten Have, Albert van der Kolk, Jaap Feenstra, Arjan Pors and Rutger Kalsbeek.
